VILLANOVA UNIVERSITY
SPEAKER CONTRACT ADDENDUM
This Addendum is incorporated by reference into that Agreement dated
between
(“Speaker”) and
(“Agent”) and Villanova
University (“University”).
1. Speaker is responsible for all taxes on income received from this Agreement and University will
not withhold any such taxes.
2. If this contract is cancelled by Speaker/Agency for any reason other than an Act of God or other
force majeure event, then Agency agrees to reimburse the University for its bona fide out of pocket
expenses immediately upon the presentation of a certified statement of such expenses to the Agency unless
the Agency can reschedule the event at the earliest possible date mutually agreeable to both parties.
3. University is hereby relieved of any liability if unable to meet the responsibilities of this contract
because of any Act of God, riots, epidemics, strikes, any act or order of public authority or any other
legitimate cause beyond the control of the University. If such acts or conditions occur, the University is not
liable for any damages which the Speaker, Agency or their respective representatives might suffer.
4. Agency and/or Speaker shall maintain a general liability policy of insurance in the amount of
$1,000,000. A certificate of insurance evidencing liability coverage on an “occurrence” basis and naming
University as the certificate holder and as additional insured must be received by University prior to the
commencement of the event. The certificate must indicate that it is the responsibility of the insurance
carrier to provide University with 30 days notice prior to canceling or expiration on the insured’s policy.
5. Speaker has arranged, through insurance or otherwise, to meet any and all needs for payment of
medical costs for any injuries occurring on campus or arising out of participation in the speaking
engagement. Speaker acknowledges that University will not be responsible for any medical expenses
arising out of injuries occurring on campus or participation in the speaking engagement.
6. Agency and Speaker hereby agree to indemnify, defend and hold harmless University, its agents,
servants, trustees, students and employees from and against any and all loss, damage, liability or expense,
including attorney’s fees, including but not limited to all claims for damages on account of or by reason of
bodily injury, including death, which may be sustained or claimed to be sustained by any person, and all
damages to property, caused by or arising out of or claimed to have been caused by or to have arisen out of
the services provided by Speaker or Speaker’s noncompliance with this Agreement.
7. Speaker acknowledges that University will not be responsible for any physical damage occurring to
property owned, leased or used by Speaker.
8. The individual signing this Agreement for Agency certifies that he/she has the authority to bind
Speaker to this contract. The Speaker and Agency acknowledge that the individual signing this contract for
University signs as an agent of University, and his personal liability is limited to warranting that he has
been duly authorized to sign by University, which is solely responsible for the performance of this contract.
9. Speaker and Agency agree and warrant that in the performance of the contract, Speaker will not
discriminate or permit discrimination against any person or group of persons on the grounds of race, color,
religion, sex, age, national origin or on the basis of being handicapped but otherwise qualified individual in
any manner prohibited by the laws of the United States.
10. Neither Agency nor Speaker shall use the University name, mark trademark or any variation
thereof for any purpose without the prior written consent of the University.
