PARTNERSHIP, WE ADVISE THAT YOU SEEK PRIVATE LEGAL COUNSEL. The information set

out below provides statutory requirements for filing an amended certificate.

INSTRUCTIONS FOR FILING AN AMENDED CERTIFICATE OF LIMITED PARTNERSHIP

PURSUANT TO THE ALASKA REVISED LIMITED PARTNERSHIPS ACT AS 32.11.020

The amended certificate shall be signed and executed by one of the limited partnership’s general

partners and each person designated in the amendment as a new general partner, if applicable, and

shall set out the:

1. name of the limited partnership; (Write the legal name of the company as it is currently on file

with the state)

2. the date the original Certificate of Limited Partnership was filed with the state;

3. the amendment(s) adopted. (Indicate which articles or provisions of the Certificate of Limited

Partnership are being amended, added, or deleted. Each amended article must be written in

its entirety. The article or provision stating the name and mailing address of the limited

partnership’s registered agent cannot be amended.)

FILING THE AMENDED CERTIFICATE

An original and an exact photocopy of the amended Certificate of Limited Partnership, along with the

required filing fee, should be submitted to the Corporations Section for filing. The effective date of

the amendment is the date it is received in this office in statutory compliance or on a specified later

date not more than 30 days after the filing of the amendment.

THE FILING FEE IS $25.00

REPROCESSING FEE: If the documents are not in statutory compliance, they will be returned for
