REQUIREMENTS FOR FOREIGN LIMITED LIABILITY COMPANY

APPLICATION FOR AMENDED CERTIFICATE OF REGISTRATION

(53-19-1 TO 53-19-74 NMSA 1978)

SECTION 53-19-51 AMENDMENTS.

The application for registration of a foreign limited liability

company may be amended by filing articles of amendment with the

commission signed by a person with authority to do so under the laws

of the state or other jurisdiction of its organization.

The articles

of amendment shall set forth:

(1)

the name of the foreign limited liability company;

(2)

the date the original application was filed; and

(3)

the amendment to the application for registration.

The application for registration may be amended in any way, so long as

the application for registration as amended contains only provisions

that, at the time of the amendment, may be lawfully contained in an

application for registration.

An application for registration shall be amended to reflect any change

in the identity of the persons in whom management of the foreign

limited liability company is vested.

SECTION 53-19-63 provides for filing fee of fifty dollars ($50) payable to

the commission upon filing the application.
