statutory requirements for filing a certificate of cancellation.
INSTRUCTIONS FOR FILING A CERTIFICATE OF CANCELLATION
PURSUANT TO THE ALASKA REVISED LIMITED PARTNERSHIP ACT AS 32.11.030
The certificate of cancellation shall be signed and executed by ALL of the limited partnership’s
general partners, and shall set out the:
1. name of the limited partnership; (Write the legal name of the company as it is currently on file
with the state)
2. the date the original Certificate of Limited Partnership was filed with the state;
3. the reason that the certificate of limited partnership is being cancelled.
FILING THE CERTIFICATE OF CANCELLATION
An original and an exact photocopy of the Certificate of Cancellation, along with the required filing
fee, should be submitted to the Corporations Section for filing. The effective date of cancellation is
the date the filing is received in this office in statutory compliance, or on a specified later date not
more than 30 days after the filing of the certificate.

REPROCESSING FEE: If the documents are not in statutory compliance, they will be returned for
