Instruction Sheet for Articles of Dissolution for Domestic Non-Profit Corporation

Form DNP-9.

Use these instructions to dissolve your non-profit corporation; or use the fillable Articles of Dissolution on page 2. This will dissolve

your Non-Profit Corporation in the District of Columbia.

Domestic Non-Profit Corporation

Refer to Corporate Fee Schedule posted online.

State the name of the non-profit corporation.

State that the resolution to dissolve was adopted in the following manner: Option A or B or C must be chosen, but not both:

A. The resolution to dissolve the corporation was adopted at a meeting of members held on _______________ (Insert Date), at which a

quorum was present, and the resolution received at least two thirds of the votes which members present or represented by proxy at such

meeting were entitled to cast.

B. The resolution to dissolve the corporation was adopted by consent in writing signed by all members entitled to vote in respect thereof.

C. The resolution to dissolve the corporation was adopted at a meeting of the Board of Directors held on ___________ (Insert Date), and

received the vote of a majority of the Directors in office, there being no members having vote rights in respect hereof.

State that the all debts, obligations and liabilities of the corporation have been paid and discharged, or adequate provision has been made

therefore.

State that there are no suits pending against the corporation in any court in respect of which adequate provision has not been made for the

satisfaction of any judgment, order or decree which may be entered against it.

Amendment must be signed and dated by President / Vice-President and attested by Secretar

y / Assistant Secretary.

Names of President/VP and Secretary/Assistant Secretary should match the names that are indicated on the last two-year report.

IMPORTANT INFORMATION:

A - Preamble is required for Articles of Dissolution- see sample on page 2. (e.g., "Pursuant to provisions of title 29, etc?.")

Articles should be filed in duplicate original.

B - No attachment is accepted for articles of amendment.

C - Do not handwrite on fillable articles of dissolution. Please, type your information instead.

D - All items must be answered on fillable articles of dissolution; N/A is not an acceptable answer.

E - Old Act Nonprofit Corporation may not file articles of dissolution until "Election to Accept" is filed;
