Form 501—General Information
(Application for Reservation of Entity Name)
The attached form is a standardized form designed to meet minimal statutory filing requirements
pursuant to the relevant statutory provisions. This form and the information provided are not substitutes for
the advice and services of an attorney and tax specialist.
The name of a corporation, professional association, limited liability company, or limited partnership
may be reserved for a period of 120 days. There is no provision for renewal of a name reservation.
Consequently, a subsequent application for reservation of the same entity name will not be accepted for
filing until the original reservation period has expired.
Item 1—Entity Type: A name may be reserved only by a person intending to organize a Texas business
or non-profit corporation, limited liability company or limited partnership, or a person intending to
qualify a foreign (out-of-state) corporation, foreign limited liability company or foreign limited
partnership to transact business in Texas, or any such entity that intends to change its name. Although
this form is designed to be used by different types of entities, you must specify the type of entity to
which the name reservation is to apply since a name reservation filed under one statute cannot be
used for, or transferred to, filings made under another statute.
Item 2—Entity Name: Set forth the entity name to be reserved together with the appropriate
organizational ending. Appropriate organizational endings are shown in the table below:

The applicable statutes and the secretary of state’s name availability rules provide that a proposed name
cannot be the same as, deceptively similar to, or similar to (without a letter of consent) that of any
existing domestic or foreign corporation, limited partnership, limited liability company or any name
reservation or registration filed with the secretary of state.

not be relied upon as final approval of the name. The final decision regarding name availability will be
