Pursuant to the provisions of Title 29, Chapter 13 of the District of Columbia Code (the D.C. Limited
Liability Act if 1994), the undersigned limited liability company hereby proposes to cancel its certificate
of registration to transact business in the District of Columbia, and for that purpose submits the
following:
FIRST: The name of the limited liability company is [insert the name].
SECOND: It is organized under the laws of [insert the name of the state, country or other foreign
jurisdiction where it is organized].
THIRD: It is not transacting business in the District of Columbia.
FOURTH: It hereby surrenders its registration to transact business in the District of Columbia.
FIFTH: It revokes the authority of its registered agent in the District of Columbia to accept service of
process on its behalf and appoints the Superintendent of Corporations as its agent for service of process
in any action, suit or proceeding based upon any cause of action arising during the time it was registered
to transact business in the District of Columbia.
SIXTH: The address to which the Superintendent of Corporations may mail a copy of any process
