STATEMENT OF CHANGE OF REGISTERED OFFICE OR
REGISTERED AGENT, OR BOTH, BY A LIMITED LIABILITY COMPANY
INSTRUCTIONS FOR COMPLETING FORM LLC-2 (RSA 304-C:36 II and RSA 304-C:177 V)
RSA 304-C:36 II Limited Liability Company Registered Offices and Registered Agents. (of
a N.H. LLC)
A limited liability company may change its registered office or registered agent, or both, by
filing with the secretary of state a statement setting forth:
(a) The name of the limited liability company;
(b) The street address of its current registered office;
(c) If the street address of its registered office is to be changed, the street address to
which the registered office is to be changed;
(d) The name and address of its current registered agent;
(e) If its registered agent is to be changed, the name and address of its successor
registered agent; and
(f) That after the change or changes are made, the street addresses of its registered office
and the business office of its registered agent will be identical.
RSA 304-C:177 V Foreign Limited Liability Companies Registered Office; Registered
Agent. (of a foreign LLC)
A foreign limited liability company registered to transact business in this state may change its
registered office or registered agent, or both by delivering to the secretary of state for filing a statement of
change that sets forth:
(a) Its name;
(b) The street address of its current registered office;
(c) If the current registered office is to be changed, the street address of its new registered office;
(d) The name and address of its current registered agent;
(e) If the current registered agent is to be changed, the name of its new registered agent; and
(f) That after the change or changes are made, the street addresses of its registered office and the
business office of its registered agent will be identical.
Notes:
1. Refer to law quoted above for who may serve as agent. If a post office box is given, the
physical location must also be given.
2. Signature and title of person signing for the limited liability company. MUST BE SIGNED BY A
MANAGER OR IF NO MANAGER, BY A MEMBER; or see RSA 304-C:28 V for an alternative
signature.
