INSTRUCTIONS (Please retain for your records):
The following entities may convert to a limited partnership: a business trust, an association, a real
estate investment trust, a common law trust , or any other unincorporated business, including a
general partnership, a limited liability partnerships, a foreign limited partnership, a foreign limited
liability partnership, and limited liability company.
The Application for Certificate of Conversion must be filed in conjunction with the Application for
Certificate of Foreign Limited Partnership and $150.00.
Refer to Alaska Statutes 32.11.095 If you need assistance in completing your filing, it is advised that
you seek legal counsel. Please be aware that this filing will become public information.
ITEM 1: Name of the entity
Provide the name of the entity immediately before filing of the certificate of conversion to a limited partnership
i.e. prior to conversion.
ITEM 2: Name of the limited partnership
Provide the name of limited partnership as listed on the Certificate of Registration attached to this form.
ITEM 3: Date and jurisdiction (home state) where the entity listed in Number 1 was first created, formed,
incorporated, or otherwise came into being.
ITEM 4: List the future effective date of conversion if deferred from date of the filing.
ITEM 5: Signature
The printed name and signature of each general partner or Attorney-in-Fact is required.
NOTE: Persons who sign documents filed with the commissioner that are known to the person to be false in
material respects, is guilty of a class A misdemeanor.
Mail the Certificate of Conversion and the non-refundable $25.00 filing fee, along with the Certificate of
Registration of Foreign Limited Partnership and applicable $150.00 fee to:
