LINKING AGREEMENT

This Agreement ("Agreement") is made this ____ day of ____ by and between AHG,

Inc., a corporation organized under the laws of the Commonwealth of Massachusetts, with a

principal place of business at _____________, ______________, Massachusetts, _________

("Licensor"), and ___________, LLC, with a principal place of business at P.O. Box ____,

Columbus, OH 43220 ("Licensee").

WHEREAS,

Licensor

the

owner

and

maintains

the

web

site

("Licensor's Website"); and

WHEREAS, Licensor has developed a series of educational ________ tutorials on a

variety of topics related to __________ which are available to Users on the Internet through

Licensor's Website (the "Tutorials"); and

WHEREAS, Licensor offers monthly subscription access to the Tutorials through

Licensor's Website; and

WHEREAS, Licensor is the owner of rights in the marks that are identified on Exhibit __

attached hereto and incorporated herein by reference ("Marks"); and

WHEREAS, the Marks are used in connection with services offered at Licensor's

Website; and

WHEREAS, Licensor has created and used symbols and graphical designs that are

associated with Licensor's Website, intended for use in connection with linking to Licensor's

Website, and are available at Licensor's Website (the "Symbol Marks"); and

WHEREAS, Licensor is willing to grant a limited right and license to link to Licensor's

Website using the Marks and/or the Symbol Marks; and

WHEREAS, Licensee is a provider of behavioral health Internet services and operates

and owns the Mental Help Net website at ("Licensee's Website"); and

WHEREAS, Licensee is desirous of using the Marks and/or the Symbol Marks on

Licensee's Website to provide a link to Licensor's Website.

NOW THEREFORE, for valuable consideration as set forth in this Agreement, the

receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

LICENSE GRANT

Subject to the terms and conditions set forth in this Agreement, Licensor hereby grants

Licensee a non-exclusive, non-transferable license to link to Licensor's Website and to use the

Marks and the Symbol Marks as specifically set forth herein.
