WAIVER OF RIGHT OF FIRST REFUSAL

THE NATURE CONSERVANCY (the "Conservancy"), a nonprofit District of Columbia

corporation, being the owner, holder and beneficiary of a right of first refusal on any sale or

resale or transfer of certain lands on Dog Island, in Franklin County, Florida, hereby

acknowledges that it has been offered the following described land pursuant to its right of first

refusal, on the following basic terms, and the Conservancy hereby waives its right to exercise

such right of first refusal on the following described transaction provided, however, that the

Conservancy, its successors or assigns, shall retain the option to repurchase said premises if they

are offered for sale at any subsequent time, and reserves the refusal of same upon the same terms

and conditions as they may be offered to any other party or parties.
