CONSIGNMENT AGREEMENT

This letter is intended to confirm our understanding that you
are appointed one of our sales agents within the State of
___________________________________for the sale of _______________
__________________________________("Goods"), upon the following
terms and conditions:
1. Consignment. We shall ship to you from time to time, on
consignment, such quantities and styles of Goods as we in our
discretion may determine, being mindful of the sales potential in
your territory.
2. Consignment Invoices. We shall accompany each shipment
with a consignment invoice, invoicing the Goods to you at our
current factory price, less the usual trade discount. This method
of invoicing is followed for our mutual convenience and is not to
be construed as a sale of the Goods to you.
3. Acceptance of Possession and Sale. You shall accept
possession of the Goods, on consignment, and sell the Goods for our
account at not less than the consignment invoice price.
4. Expenses. From the time you receive possession of the
consigned Goods, you shall be liable for and shall pay all expenses
related to the Goods, including all expenses of cartage, handling,
storage, insuring, selling, and delivering to customers.
5. Title. We shall retain title to the Goods which are
shipped and consigned to you until you sell them to your customers,
at which time title shall pass directly from us to the respective
customers. Similarly, title to the proceeds of all Goods sold
shall vest in and remain in us until you account for and remit to
us our share of the proceeds.
6. Sales. In writing up the sales, you shall employ our
sales memoranda, which contain the statement that the sale is
