CERTIFICATION AND AGREEMENT

The customer (identified at the beginning of the Credit Application) hereby certifies to Canastota Concrete Co., Inc., d/b/a Binghamton

Ready Mix, Cortland Ready Mix, Inc., W.F. Saunders & Sons, Inc., and/or Saunders Concrete Co., Inc. (hereinafter referred to as

“Saunders”) agrees that: a) full timely payment will be made for all goods purchased from Saunders; b) in the event that any monies

owed to Saunders are not paid in full on or before the date when they are due, then a finance charge shall accrue on said unpaid amount

at the rate of one and one-half percent (1.5%) thereof per month until said sums are paid in full; c) the Customer hereby grants to

Saunders a security interest in and upon all Customer's inventory, equipment and accounts, and all proceeds thereof, whensoever

acquired, in consideration of and to secure the repayment of any and all monies owed by the Customer to Saunders now or at any time

hereafter, and Saunders may file financing statements recording this security interest; d) the Customer shall reimburse and indemnify

Saunders for any and all expenses or disbursements incurred by Saunders in or for the collection of any monies owed to Saunders for

the enforcement of any rights held by Saunders including, without limitation, reasonable attorneys' fees, court costs and other collection

costs; e) all information contained on the credit application is correct and accurate; f) the credit terms applied for are fully understood

and g) Saunders is hereby granted permission to check Customer's credit with any listed trade references and/or any appropriate credit

reporting agencies.

PERSONAL GUARANTY

In consideration of the extension of credit by Canastota Concrete Co., Inc., d/b/a Binghamton Ready Mix, Cortland Ready Mix, Inc.,

W.F. Saunders & Sons, Inc., and/or Saunders Concrete Co., Inc. (hereinafter referred to as “Saunders”) to the Customer (identified at

the beginning of the Credit Application) and of said Customer's indebt ness to Saunders, the Undersigned hereby unconditionally

guarantees the immediate payment when due of all monies owed at any time by said Customer to Saunders. The obligation of the

Undersigned shall not be terminated or changed in any aspect not withstanding any circumstances or occurrence whatsoever which

otherwise might terminate or change the obligation of the Customer. The Undersigned hereby consents and agrees to all of the terms

and provisions of the above “Certification and Agreement” as if fully set forth herein. Without limitation of the foregoing, the

Undersigned also unconditionally guarantees the payment by the aforesaid Customer to Saunders of any and all finance charges,

attorneys' fees and collection costs. The Undersigned shall be personally obligated and liable hereon regardless of the inclusion

hereunder of a corporate name or office. The term “Undersigned” shall mean each person whose signature appears below regardless of

number or gender.
