ASSIGNMENT OF PROSPECTING LEASE

in the ____________________hereinafter called “the Assignor”, THE FIRST PART.

AND ________________________________ of ____________________________

in the _____________________________________hereinafter called “the Assignee” OF THE SECOND PART

WHEREAS by a Prospecting Lease Number ____________________________________________________

and dated ___________________________ 20 _____ , the Minister did grant to the Assignor a lease for a term of

one year

commencing on the _________________________________________________________ 20 __________ ,

and ending on the ___________________________________________________________ 20 __________ ,

to prospect for placer minerals on such part of the lands described herein as are available for prospecting leases

under the said Act subject to all provisions of the said Act.

NOW AND THEREFORE THIS INDENTURE WITNESSETH that in consideration of the premises and the sum

of ______________________ dollars and other good and valuable considerations now paid by the Assignee to

the Assignor, the receipt whereof is hereby acknowledged, the Assignor doth hereby assign, transfer and set over

unto the Assignee, heirs, executors, administrators and assigns, all the rights granted by the said lease on such

part of the lands described as follows:

Together with the residue unexpired of the said term and the said lease and all benefits and advantages to be derived

therefrom to have and to hold unto the Assignee, heirs, executors, administrators and assigns, subject to the provisions of the

Placer Mining Act.

The assignor covenants with the Assignee that the said Lease is a good, valid and subsisting lease and that subject to the

said Act he has good right, full power and absolute authority to assign the said rights and Lease in the manner aforesaid, that

the said rights and Lease are clear and free of all encumbrances, and that he will at the Assignee’s expense execute such

further assurances as the Assignee may reasonably require.

The Assignee covenants with the Assignor that ___________________will comply with the provisions of the said Act.
