INFORMATION AND INSTRUCTIONS

1. The Certificate of Abandonment of amendment cannot be filed until this form, or a comparable document, is submitted.

2. Submit one original of this document. Upon filing, the document will be added to the records of the Bureau of Commercial

Services. The original will be returned to your registered office address, unless you enter a different address in the box on

the front of this document.

Since this document will be maintained on optical disk media, it is important that the filing be legible. Documents with

poor black and white contrast, or otherwise illegible, will be rejected.

3. This Certificate is to be used pursuant to section 651 of Act 284, P.A. 1972 or Act 162, P.A. 1982, to abandon an

amendment to the Articles of Incorporation before the effective date of the amendment in accordance with provisions for

abandonment stated in the resolution approving the amendment. The amendment must have been approved by its

shareholders, if it is a profit corporation, or by its shareholders, by its members, or by its directors if it is a nonprofit

corporation.

4. Item 2 - Enter the identification number assigned by the Bureau. If this number is unknown, leave it blank.

5. If a Certificate of Amendment has been filed by the corporation which specifies a later effective date, this Certificate of

Abandonment can be filed within 10 days after the abandonment but not later than the specified effective date.

6. This Certificate must be signed by:

Profit Corporations - Signature by an authorized officer or agent.

Nonprofit Corporations - Signature of the president, vice-president, chairperson, or vice-chairperson of the corporation.

7. NONREFUNDABLE FEE. Make remittance payable to the State of Michigan. Include corporation name and identification
