The parties hereby agree to indemnify and hold harmless the Escrow Agent

from and against any loss, cost or damage incurred by it, including, without limitation,

reasonable attorneys’ fees in connection with this Addendum, or arising from its duties

dispute, choose to obtain an opinion of counsel with regard to its duties hereunder, and
