Please complete all sections of the Limited Partnership Annual Report. USE DARK INK ONLY. For an

Section 1
Indicate the Limited Partnership (LP) name as it currently is recorded with the Office of the Secretary of State.
Section 2
All Limited Partnerships must have a registered agent in Washington State. The registered agent may be an
individual who is a resident of Washington State, or a business entity registered with the Secretary of State’s
office. The agent must have a physical address in Washington State where they can be located. An alternative
mailing address may be used in addition to the physical address. The mailing address must also be in
Washington State. The registered agent must print their name and sign the consent to serve as
registered agent. Section 2 is only required when there has been a new appointment of a registered agent.
Section 3
Enter the address of the Limited Partnership’s principal place of business were records are maintained.
Section 4
This section is for Foreign Entities only. Foreign Limited Partnerships must provide the principal office
address for the state or country that the Limited Partnership was originally formed.
Section 5
This is a required section. Answer Yes or No to the questions in section 5. For more information please review
RCW 82.45.220.
Section 6
Section 5 requires a signature by at least one General Partner or by a person authorized by the Limited
Partnership as defined in RCW 25.10.231.

Changes in General Partners – Any changes in general partners require a Limited Partnership Amendment
to be filed. For amendment forms contact our office at 360-725-0377.
FEES: The filing fee for Limited Partnership Annual Report is $60.00 for a one year period. Make the checks or
money orders payable to “Secretary of State”. If expedited service is requested then include an additional
$50.00 and write “EXPEDITE” on the outside of the envelope. (ALL fees are non-refundable)
