GENERAL FILING INSTRUCTIONS
FOR ARTICLES OF AMENDMENT
A.R.S. §§ 10-1005 and 10-1006

All corporations amending their Articles of Incorporation must comply with the following at the time of
filing.
1.
The Articles must be executed and state the name of each person who signs it and the capacity
in which each person signs. The document may be executed by either the Chairman of the
Board of Directors, President or another authorized officer; if Directors have not been selected or
the corporation has not been formed, an incorporator may sign. Or if the corporation is in the
hands of a receiver, trustee or other court appointed fiduciary, the document may be signed by
that fiduciary.
2.
If you are changing the name of the corporation, make sure that the new corporation name you
wish to use is available for use in Arizona. (The name may be formally reserved for 120 days for
a fee of $10.00). Names may be checked and reserved for an additional expedite fee of $35.00
on our website: /divisions/corporations/filings/namingpolicy.asp.

3.
ARTICLES OF AMENDMENT MUST CORRESPOND DIRECTLY TO THE ORIGINAL
ARTICLES. THEREFORE, EACH ARTICLE TO BE AMENDED MUST BE IDENTIFIED IN
EXACTLY THE SAME NUMBER THAT APPEARS IN THE ORIGINAL ARTICLES.
4.
Deliver the completed original Articles of Amendment and one (1) exact copy to the Commission
accompanied by the $25.00 (U.S.) filing fee. Expedited service is also available for an additional
$35.00. Please make check payable to the Arizona Corporation Commission.
5.
Within 60 days after the Commission has approved the filing, you must publish the Articles of
Amendment in a newspaper of general circulation in the county of the known place of business in
Arizona, for three (3) consecutive publications. DO NOT PUBLISH UNTIL THE COMMISSION
APPROVES THE FILING. A list of acceptable newspapers in each county will accompany the
approval
letter
and

Commission

/Divisions/Corporations. The corporation may be subject to dissolution if it fails
