Executed by a manager if management of the limited liability is vested in one or more

managers or by member if management of the limited liability company is reserved to the

members.

Articles of Termination:

Indicate the current exact name of the limited liability company.

‘

Indicate that a notice of winding up disclosing the dissolution of the limited liability

company has been filed with the commission and the date the notice was filed.

‘

Indicate that all known properties and assets of the limited liability company have been

applied and distributed pursuant tot his chapter.

‘

Executed by a manager if management of the limited liability is vested in one or more

managers or by member if management of the limited liability company is reserved to the

members.

‘

If the person executing the document has a power of attorney authorizing him/her to do so,

a copy of the document granting authority must be included with the filing.

Fees:

Attach check for filing fee $25.00 Notice of Winding Up/ $35.00 Articles of Termination.

Additional $35.00 for expedited services. Make check payable to the Arizona Corporation

Commission and it must be dated and signed.

NOTE: If Notice of Winding Up and Articles of termination are filed simultaneously

only one expedite fee is applicable.
