Annual Corporation License

No foreign corporation, except foreign insurance companies and foreign nonprofit corporations, shall do or carry

on business in the State unless it shall first have obtained from the director an annual license to do so. The

annual license fee shall be $100.00. the license fee shall be assessed on the basis of the fiscal year from July 1

to June 30.

If the annual license fee is not paid by the specified time, the corporation shall be required to pay the license fee

and a penalty equal to fifty percent (50%) of the license fee.

Annual Report

Sections 415-125 and 415-126 provide that each foreign corporation must deliver an annual report to the

Director of Commerce and Consumer Affairs. This annual report must reflect the corporation’s state of affairs as

of December 31 of each year. The first annual report of a foreign corporation shall be delivered to the director

for filing between January 1 and June 30 of the year next succeeding the calendar year in which its application

for a certificate of authority was filed by the director. A $25.00 fee must be paid upon filing of the report.

The annual report forms will be mailed to every corporation in March of each year, and in order to assure receipt

of the same, this department shall be notified in writing of any change of address. The notification must be

signed by a corporate officer and his corporate title must be stated below his signature.

Failure to file the report within the prescribed time will subject the corporation to a maximum penalty of $100.00

for each thirty-day period that the delinquency continues. If the annual report is not filed for a period of two

years, the corporation may be dissolved involuntarily by the director pursuant to Section 415-94.

Withdrawal

Whenever the corporation decides it no longer wishes to be registered in the State of Hawaii, an application for a

certificate of withdrawal must be filed. Forms are available from the department.
