10.

Governing Law. This Agreement is governed exclusively by, and are to be enforced,

construed and interpreted exclusively in accordance with, the laws of British Columbia and the

laws of Canada applicable in British Columbia which are deemed to be the proper law of the

Agreement. Each party irrevocably submits to the exclusive jurisdiction of the courts of British

Columbia in any suit, action, or other proceeding arising out of this Agreement

General. This Agreement may not be assigned by the Potential Purchaser without the

consent of the Vendor (which consent may arbitrarily be withheld). This Agreement may be

signed in one or more counterparts and each counterpart, when executed and delivered, will be

an original. All such counterparts taken together will constitute one and the same instrument.

This Agreement will enure to the benefit of and be binding upon the parties and their respective

successors and permitted assigns.
