WORK STATEMENT

The parties agree to execute the research as described in

the enclosed project proposal (see Appendix to the proposal or

insert below) with some adjustments in the original proposed

timetable.

TERMINATION

This subagreement may be terminated by either party hereto

giving written notice to the other party at least 30 days in

advance of a specified date of termination.

In the case of

termination by Clark University, (Subcontractor) shall be

reimbursed for all commitments made under the terms of this

agreement prior to such termination.

CERTIFICATIONS/ASSURANCES

(Appendix A or B must be submitted)

(See two alternatives for Certification/Assurance requirement –

attached as Appendix A and B)

Appendix A can be used for schools, universities, or agencies who

already receive federal funds.

Appendix B can be used for all

others.

If B is not applicable (i.e. subcontract to an

individual or small vendor, usually less than 50 people), please

sign Appendix B and provide an explanation of why these

certifications are not applicable.
