Instructions – Articles of Dissolution
Please complete all sections of the Articles of Dissolution. USE DARK INK ONLY. For an electronic, fillable

UBI Number: Please enter your existing Unified Business Identifier (UBI Number) as currently recorded with
the Office of the Secretary of State, in the box in the upper right hand corner of page 1.
Section 1:
Complete with the entity name exactly as currently recorded with the Office of the Secretary of State. Please
include the address where the completed document should be mailed.
Section 2:
Check the appropriate box that identifies how the dissolution was authorized.
Section 3:
An effective date may be specified. The effective date can be up to 90 days AFTER the Articles of Dissolution
have been filed by the Office of the Secretary of State.
Section 4:
The signer must be an officer or the chairman of the board of the corporation. The incorporator may sign only
if no officers or directors are named in the Articles or if an initial annual report or annual report has not been
filed.
Additional Information:
A Washington State Department of Revenue Clearance Certificate Must Be Attached
The Revenue Clearance Certificate is obtained from the Department of Revenue. Not providing all required
information may result in a return of the document and could create a delay in processing. The request for a

Fees:
There is no fee for a standard filing. If expedited service is requested, include a $50.00 check and write
“EXPEDITE” on the outside of the envelope. Make the checks or money orders payable to “Secretary of State”.
