NTELLECTUAL PROPERTY RIGHTS

1. The Contractor herewith automatically cedes to the Client all transferable intellectual

property rights to the results of this work for the Client. These rights include, but are

not limited to, the exclusive right to use, publish, sell or distribute any material

prepared for on behalf of the Client.

NSURANCE AND NATURE OF RELATIONSHIP

1. The Contractor is not an employee of the Client. He therefore bears sole

responsibility for providing the necessary insurance policies (old-age, invalidity,

unemployment, accident, sickness, loss of earnings,), for which he shall take out

adequate coverage. The contactor is also responsible for paying all the taxes

according to Israeli tax code and the agent’s personal tax bracket.

2. The Contractor and / or consulting services provider on his behalf,. __________, will

be considered with regard to this Agreement as an independent contractor

relationship with the customer and will not be employer-employee relationship .

3. If for some reason it will be determined by a qualified entity, including by a judicial

body , that the contractor and / or provides consulting services on his behalf .

_______, has a working relationship with the customer , then the Contractor agrees

explicitly that wages he or the provider of consulting services on behalf. ________,

deserve as an employee of the customer to be of 65 % of the fees (excluding VAT)

payable to the contractor .

4. If it is determined that the contractor or consulting services provider on his behalf,.

_________________ , has an employer-employee relationship with the customer ,

the contractor will have to return the full excess amounts - at 35 % of the fees

(excluding VAT) received by it from the beginning providing services to conclusion.

PPLICABLE LAW AND ARBITRATION

1. This contract is subject to Israel tax code and contract law.

MMUNITY

1. Nothing in this contract shall be directly or indirectly interpreted as a waiver on the

part of the Client of its privileges and immunities as an international organization.
