SPOUSAL CONSENT
OF

I, THE UNDERSIGNED, ACKNOWLEDGE THAT:
1.
I have read the operating agreement (the “Agreement”), made as of _________________,

“Company”);

I know and fully understand the Agreement’s contents and have been advised to consult
with independent counsel with respect to the Agreement;

I am aware that by the Agreement’s provisions, my spouse, ________________

(“Spouse”), agrees to sell all of my Spouse’s membership interest in Company, including any
community property interest I may have with respect thereto, on the occurrence of certain events;

I consent to any sale, approve of the provisions of the Agreement, and agree that my
Spouse’s membership interest and my interest with respect thereto are subject to the provisions
of the Agreement, and that I will take no action at any time to hinder operation of the Agreement
with respect to my Spouse’s membership interest in the Company or my interest with respect
thereto.

I agree that in the event that my Spouse predeceases me, I shall not devise any part of any
community property interest that I may have in my Spouse’s interest in the Company in violation
of this Agreement.
6.
I hereby waive and release any and all equitable or legal claims and rights, actual,
inchoate or contingent, that I may acquire with respect to the disposition, voting or control of my
Spouse’s interest in the Company, including any portion of that interest that is the community
property.
