77hereto any rights or remedies under or by reason of this Agreement or any transaction
contemplated by this Agreement.
13.12
Limitation on Government’s Liability: Notwithstanding anything to the
contrary contained anywhere in this Agreement, the Government’s aggregate liability
under this Agreement shall not exceed _____% ( ___ percent) of the Purchase Price.
13.13
Dispute Resolution: Any and all Claims, disputes, questions or controversies
involving any of the Parties hereto and arising out of or in connection with this
Agreement, including the execution, interpretation, validity, performance, breach or
termination hereof, (collectively, “Disputes”), shall be resolved and settled, subject to the
procedures set out in Schedule III to this Agreement.
