THESE ARTICLES MUST BE TYPED OR LEGIBLY PRINTED IN BLACK INK ONLY. ILLEGIBLE ARTICLES WILL BE

RETURNED WITHOUT BEING FILED. THIS FORM IS MERELY A GUIDE AND ADDRESSES ONLY THE MINIMUM

FILING REQUIREMENTS. MINNESOTA STATUTES CHAPTER 322B CONTAINS OTHER CHOICES, SEE YOUR

LAWYER FOR MORE INFORMATION.

1. The company name must include the words Limited Liability Company or abbreviation LLC and may not include the words

“corporation” or “incorporated” or their abbreviations. The name will be recorded exactly as listed on this line. Name

availability may be checked by calling the Business Information Phone Lines at (651)296-2803 between 8 a.m. and 4:30 p.m.

(CT) on any working day.

2. The registered office address must be a Minnesota address and must be completed with a street address or rural route

and rural route box number, city, state and zip code. A P.O. Box is not acceptable.

3. You are not required to have a registered agent. If you have a registered agent, you must list the full name of the agent

who must be located at the registered office address.

4. Write SAME if the business mailing address is the same as the registered office address listed in item 2. If the mailing

address is not the same as the registered office address, state the mailing address. This address may be a P.O. Box.

5. The desired duration of the LLC must be stated in years. The LLC has a perpetual duration unless you state otherwise in

this item.

6. Please indicate if the limited liability company owns, leases or has any interest in agricultural land or land capable of being

farmed. This question is optional.

7. The name and address of the organizer(s) must be completed with an individual’s full name, street address, city, state and

zip code. The original signature of the individual is required.

8. Please list the name and telephone number of a person who may be contacted if there are any questions about this filing.
