Annual Report
Section 428-210 provides that each foreign limited liability company shall deliver to the director for filing an
annual report. An annual report must contain information required by this section. The information in an annual
report shall be current as of December 31 of each year. The first annual report shall be delivered to the director
by June 30 of the year following the calendar year in which the company was authorized to transact business.
Subsequent annual reports shall be delivered to the director by June 30 of the following calendar year.
The annual report forms will be mailed to each company in March of each year to the company’s designated
office address in the State of Hawaii. In order to assure receipt of the annual report forms, this department shall
be notified of any change of designated office address. The notification must be made by filing the Statement of
Change of Designated Office form.
Section 428-1302 provides that failure to file the annual report within the prescribed time shall be subject to a
penalty not exceeding $100.00 for each thirty-day period that the delinquency continues.
Section 428-1006 provides that the director may revoke the certificate of authority of a foreign limited liability
company to transact business in this State if the company has not, pursuant to Section 428-210, filed its annual
report for a period of two years.
