Pursuant to A.R.S. §10-1401

Please Note:

This form may only be used by a corporation subject to the following requirements:

Either:

(1)

None of the corporation’s shares have been issued.

(2)

The corporation has not commenced business.

The Articles of Dissolution must be signed by an incorporator or an initial

director.

Pursuant to ARS §10-1401, the application for Articles of Dissolution is not

considered complete until all fees, penalties and costs have been paid.

Please make sure there are no outstanding annual reports prior to

completing the dissolution. The Annual Reports Section can be reached

at (602) 542-3285.

Pursuant to A.R.S. §10-122, there is a $25.00 filing fee. Expedited filing

service is available for an additional $35.00 fee (add $35 to the filing fee).

Make check payable to the Arizona Corporation Commission.

There are no requirements for either publication or clearance from the

Arizona Department of Revenue.
