A.R.S. §10-1401 (BUSINESS)

The Articles of Dissolution must be executed by a majority of the incorporators

or initial directors, whose signature must be acknowledged.

Pursuant to ARS §10-1401.4, the application for articles of dissolution is not

considered complete until all fees, penalties and costs required to be paid under this

chapter have been paid. Please make sure there are no outstanding annual reports,

prior to completing the dissolution. You can contact annual reports at (602) 542-

3285.

Pursuant to A.R.S. §10-122.A.11, there is a $25.00 filing fee. Expedited filing

service is available for an additional $35.00 fee.

There are no requirements for either publication or clearance from the Arizona

Department of Revenue. However, this form may only be used by a corporation

subject to the following requirements:

None of the corporation’s shares have been issued.

(2)

The corporation has not commenced business.
