INSTRUCTIONS FOR FILING
RESTATED ARTICLES OF INCORPORATION
FOR A NON-PROFIT CORPORATION
Section 7-6-42 of the General Laws of Rhode Island, 1956, as amended
The attached form is designed to meet minimal statutory filing requirements pursuant to the relevant statutory
provision. This form and the information provided are not substitutes for the advice and services of an attorney
and/or tax specialist.
1. In order to procure a Restated Certificate of Incorporation, a non-profit corporation must file Restated Articles of
Incorporation (Form No. 202) with the Office of the Secretary of State, Division of Business Services, at the above
address. When the Restated Articles are properly completed, signed and submitted with the correct filing fee, a
Restated Certificate of Incorporation shall be issued electronically.
2. The Restated Articles of Incorporation, which are to be attached to Form 202, must correctly set forth, without
change, the corresponding provisions of the articles of incorporation, as previously amended, together with the
designated amendments, if any. Upon filing, or upon the effective date, the Restated Articles will supersede the
original articles of incorporation and all amendments thereto.
3. Upon filing the Restated Articles of Incorporation, the corporation must be in good standing and current with the filing
of its annual reports and the maintenance of its registered agent and its registered office in this state.
4. The Restated Articles of Incorporation must be accompanied by a filing fee of $10.00, and checks are to be made
payable to "Secretary of State".
5. The Restated Articles of Incorporation must be signed by the corporation’s president or vice president and secretary
or assistant secretary. A signature must appear on each line even if the same person holds both offices.
