Notices

Any notice, request, demand or other communication which is required or

permitted under this Agreement shall be in writing and shall be deemed to have been duly
4
given (a) when received if personally delivered, (b) when transmitted if transmitted by
5
telex or telecopy transmission only during the recipient's normal business hours unless
6
arrangements have otherwise been made to receive such notice by telex or telecopy
7
outside of normal business hours, with confirmation of successful transmission received
8
by the sender, (c) the day after it is sent, if sent for next day delivery to a domestic
9
address by recognized overnight delivery service (e.g., DHL, UPS or Federal Express);
10
and (d) upon receipt, if sent by certified or registered mail, return receipt requested. In
11
each case notice shall be sent as indicated below:
