time t o t ime ( collectively, “ HIPAA”). T his A greement s hall b e a pplicable o nly i n t he e vent a nd t o

the e xtent L ux S cientiae m eets, w ith r espect t o y ou, t he d efinition o f a H IPAA B usiness A ssociate

set f orth a t 4 5 C .F.R. S ection § 160.103, o r a pplicable s uccessor p rovisions.

1. D efinitions

Terms u sed, b ut n ot o therwise d efined, i n t his A greement s hall h ave t he s ame

meaning a s t hose t erms i n t he H IPAA P rivacy R ule.

Specific d efinitions:

a. Agreement. “ Agreement” s hall m ean t he D escription o f S ervices O rdered, t he L ux

Scientiae M aster S ervices A greement, a ny L ux S cientiae A ddendum t o t he M aster

Services A greement ( including t his A greement), a nd t he L ux S cientiae A cceptable

Use P olicy, c ollectively.

b. Business A ssociate.

“ Business Associate” shall generally have the same

meaning as the term “business associate” at 45 CFR 160.103, and in

reference to the party to this agreement, shall mean

Incorporated ( “Lux S cientiae” o r " LuxSci").

c. HIPAA B usiness A ssociate. “ HIPAA B usiness A ssociate” s hall m ean a n o rganization

that h as a H IPAA B usiness A ssociate A greement w ith o ne o r m ore “ Covered E ntities”

or o ther " HIPAA B usiness A ssociates".

d. Covered E ntity.

“ Covered Entity” shall generally have the same meaning as the

term “covered entity” at 45 CFR 160.103.

e. HIPAA C ustomer. “ HIPAA C ustomer” s hall m ean a c lient o f L ux S cientiae t hat i s

either ( 1) a C overed E ntity, o r ( 2) a H IPAA B usiness A ssociate, w ho h as s igned L ux
