HIPAA Business Associate Agreement

fails to comply with the then-current requirements of the Privacy Rule, such party will notify the

other party in writing, For a period of up to 30 days, the parties will enter into good faith

negotiations to amend the terms of this BAA, if necessary to bring it into compliance, to

incorporate same. If, after such 30-day period, the BAA fails to comply with the Privacy Rule,

then either party has the right to terminate it, together with the Services Agreement, upon

written notice to the other party.

IN WITNESS WHEREOF, the parties have executed this BAA as of the Effective Date.
