LAST WILL AND TESTAMENT

I, ________________, a resident of ___________, __________

County, Florida, being of sound mind and disposing memory, do

hereby make, publish and declare this to be my Last Will and

Testament, hereby revoking any and all former Wills, Codicils,

and writings of testamentary import by me made.

FIRST

I direct that all my debts which I am legally obligated to

pay at the time of my death, my last illness and funeral

expenses, all inheritance or estate taxes imposed upon my estate,

and all costs of the administration of my estate shall be paid as

soon as practicable after my death.

With respect to property

encumbered by a mortgage or lien securing a deferred payment

obligation, whether such property is jointly owned by me or

distributable pursuant to this Will, I direct that the

indebtedness thereby secured shall not be paid or discharged from

funds in my estate and such property shall pass or be distributed

to the surviving tenant or beneficiary, subject to such

obligation and the encumbrance securing same.

SECOND

I direct that my children who survive me or any one or any

combination of them who may so desire shall have the right of

first refusal to purchase as a going concern any business or

businesses which may be owned by me at my death.

The value of

such business or businesses as a going concern shall be

determined by mutual agreement of all of my surviving children.

If my children cannot agree on such value within a reasonable

time and any one of my children or a combination of them desires

to exercise his, her or their right of first refusal, then the

value of such business or businesses shall be determined by an

independent qualified appraiser who is satisfactory to a majority

of my surviving children.

In the event of a deadlock my Personal

Representative or Co-Personal Representatives shall cast one vote

in his, her or their fiduciary capacity.

Any of my children or

any combination of them who so desire shall be entitled to

purchase such business or businesses by paying into my residuary

estate the appraisal value of said business or businesses.

none of my children exercise said right of first refusal then

such business or businesses shall be disposed of as a part of my

residuary estate in accordance with paragraph THIRD.

THIRD

I give, devise and bequeath all of my property, whether the

same be real or personal, or mixed, of which I die seized or

possessed, or to which I may be entitled at my death, and

wheresoever the game may be situated, including, without

limitation, all property acquired by me after the execution of
