23and the Funds shall be entitled to rely thereon notwithstanding any investigation which may be
undertaken on its behalf.
17.
Assignment:
This Subscription Agreement is not transferable or assignable in whole or in part by the Investor
including deemed principals for managed accounts.
18.
Severability:
Should any part of this Subscription Agreement for any reason be declared invalid, such decision
shall not affect the validity of any remaining portion, which remaining portion shall remain in
full force and effect as if this Subscription Agreement had been executed with the invalid portion
thereof eliminated.
19.
Other Documents:
(a)
The Investor agrees to execute and deliver all such other documentation as may
be reasonably requested by the Fund or AGF on its behalf and will execute and
deliver all documentation as may be required by applicable legislation in
connection with the purchase, holding, redemption or transfer of the Units of the
Fund, including any documentation AGF requests regarding the Investor’s
financial circumstances and qualification as an accredited investor.
(b)
The Investor undertakes to execute properly and provide, or cause to be provided,
to the Fund or AGF in a timely manner any tax documentation that may be
reasonably required by the Fund or AGF in connection with the Fund, including
any request for an update of or any additional information regarding the
Subscription Agreement. In particular, the Investor undertakes to provide, or
cause to be provided, any information (including information regarding the
Investor) as is reasonably requested in writing by the Fund or AGF in order to
enable the Fund or AGF to comply with their obligations, or to reduce or
eliminate taxes in the best interest of the Fund which might otherwise be payable
or not capable of being reclaimed, including under Part XVIII – Enhanced
International Information Reporting of the Income Tax Act (Canada).
