19.3
The Purchaser must pay to the Vendor all goods and services tax
charged by law on the supply of any goods or services under this
Agreement.
19.4
The Purchaser must on demand pay to the Vendor goods and services
tax either –
(a)
within the time stated in this Agreement for the payment of such
goods and services supplied; or
(b) in whatever manner required by law or by the Comptroller of Goods
and Services Tax.
19.5
If such goods and services tax remains unpaid when due, the Purchaser
must pay interest (calculated on a daily basis at the rate of 2% above the
Base Rate) on the unpaid tax from the day after it becomes due until such
time as it is paid.
19A. Mediation
19A.1 The Vendor and Purchaser agree that before they refer to any dispute or
difference relating to this Agreement to arbitration or court proceedings,
they shall consider resolving the dispute or difference through mediation
at the Singapore Mediation Centre in accordance with its prevailing
prescribed forms, rules and procedure.
19A.2 For the avoidance of doubt, this clause shall not amount to a legal
obligation on the part of either the Vendor or Purchaser to attempt
mediation as a means of resolving their dispute or difference.
20.
Governing law
This Agreement is governed by Singapore law.
