Purchase Services Agreement
WHEREAS, The University of Texas at Dallas (hereinafter “UT Dallas”, “University”) desires to obtain
the services of _____________________ as a Purchase Service Provider in the office of
________________________;
WHEREAS, ______________________ is competent to provide such services and is prepared to work
with UT Dallas’s faculty and staff;
NOW, THEREFORE, UT Dallas and ______________________ do agree that the following terms and
conditions and limitations shall govern this contract:
1.
Scope of Work: (Briefly describe the task to be performed.)

2.
Term and Agreement: This agreement shall be effective on __________ and shall continue
through __________. By mutual agreement of both parties and notification to Procurement
Management, this agreement may continue on a month-to-month basis until termination.

Consideration: Services rendered shall be paid as tasks are completed to the satisfaction of
UT Dallas’s authorized representative, and shall be reimbursed at the rate or fee of $_______
per billable hour.
4.
Examination of Records: ______________________ shall render to UT Dallas a certified
invoice or voucher for services rendered, supported by reasonable detail including dates and
hours worked.
5.
Provision of Law: This Agreement is subject to and shall be governed by the laws of the
State of Texas, including any findings and approvals required by law, regulations, or the
Rules of the Board of Regents, or the University of Texas System. Any earnings derived
from services rendered by ________________________ are subject to income taxes; such
earnings shall be reported to the government at the end of each calendar year by the UT
Dallas Accounts Payable department. It is understood that __________________________
is responsible for paying such taxes.
UTD Service Provider Affirmation Clauses Addendum to Agreement
1. Representations and Warranties by Service Provider. If Service Provider is a corporation or
a limited liability company, Service Provider warrants, represents, covenants and agrees that it is
duly organized, validly existing and in good standing under the laws of the state of its
incorporation or organization and is duly authorized and in good standing to conduct business in
the State of Texas, that it has all necessary power and has received all necessary approvals to
execute and deliver the Agreement, and the individual executing the Agreement on behalf of
Service Provider has been duly authorized to act for and bind Service Provider.
2. Gifts. The Service Provider has not given, offered to give, nor intends to give at any time
hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount,
trip, favor, or service to a public servant in connection with the submitted bid, offer, proposal or
contract.
3. Franchise Tax Certification. The Service Provider is not currently delinquent in the payment
of any franchise tax owed to the state of Texas.
