THIS ASSIGNMENT AGREEMENT made as of the _____ day of ________________, 20____.

BETWEEN:

THE CITY OF EDMONTON

(the "City")

- and -

(the "Purchaser")

- and -

(the "Lessee")

WHEREAS the Lessee, pursuant to that certain lease in writing between the Lessee

as tenant and the City as landlord dated the _____ day of _____________, _______, (the "Lease")

the City leased to the Lessee certain lands, together with all improvements thereon, for the

purposes and upon the terms and conditions as set out in the Lease, being lands municipally and

legally described as:

(the” Lands").

AND WHEREAS pursuant to that certain sale agreement writing, between the

Purchaser as buyer and the City as seller, dated the ______ day of ____________, _______ ( the

“Sale Agreement”) the City agreed to sell and the Purchaser agreed to buy the Lands upon the

terms and conditions as set out in the Sale Agreement.

WHEREAS the City wishes to assign all of its right, title, estate and interest under

the Lease to the Purchaser and the parties hereto are all in agreement with the proposed

assignment.

NOW THEREFORE, in consideration of the sum of One Dollar ($1.00) and other

good and valuable consideration paid and given by the parties hereto, each to the other the, (the

receipt of which is hereby acknowledged), the parties hereto agree as follows:

The City hereby assigns, sets over, transfers and conveys unto the Purchaser

all of its right, title, estate and interest in and to the Lease, together with all rights subject thereto, to

hold the same unto itself for its sole use and benefit absolutely.

The assignment of the Lease as contemplated herein, shall be deemed to

operate as of the ______ day of ___________, _______ (the “Closing Date”), or any other such

date as agreed to in writing by the City and the Purchaser.
