6. Use of materials: Throughout the duration of this contract, all College Find materials including but
not limited to systems, logos, newsletters and databases are proprietary and therefore may not be
shared with any other college admissions advisor/counselor or school system unless written
permission is granted. At the end of five years, XXX agrees to pay a material user fee of $XX/year
for the following 5 years.
7. Termination: College Find may terminate this contract on fourteen days notice to XXX for any
reason or for no reason. XXX may terminate this contract on thirty days notice for any reason or for
no reason. However, if the contract is terminated by either party before May 7, 2018, and XXX
continues to work in the field of independent college consulting, XXX agrees to compensate College
Find for future earnings and use of proprietary property as follows:
Termination Pay-out
Within year 1:
$XX less previous distributions paid in year one = amount owed
Debt to be paid in 5 yearly installments of equal amount.
Date of first payment will be 14 days following termination of contract.
Within year 2:
$XX less previous distributions paid in year two = amount owed
Debt to be paid in 4 yearly installments of equal amount.
Date of first payment will be due 14 days following termination of contract
Within year 3:
$XX less previous distributions paid in year three = amount owed
Debt to be paid in 3 yearly installments of equal amount.
Date of first payment will be due 14 days following termination of contract.
Within year 4:
$XX less previous distributions paid in year four = amount owed
Debt to be paid in 2 yearly installments of equal amount.
Date of first payment will be due 14 days following the termination of contract.
Within year 5:
$XX less previous distributions paid in year five = amount owed
Debt to be paid in 1 installment.
Date of first payment will be due 14 days following the termination of contract.
7. Independent Contractor: The relationship created shall be that of an independent contractor and
nothing in this Agreement shall be construed to create a partnership, joint venture, or
employer/employee relationship. XXX will be solely responsible for all tax returns and payments
required to be filed with or made to any federal, state or local tax authority and any liability
associated with the college advising profession.
The Parties affirm that they have read, and agree to be bound by, the provisions of this Agreement.
