This Transfer Notice may be entered into in any number of counterparts, all of
which taken together shall constitute one and the same instrument. Any party may
enter into this Transfer Notice by executing any such counterpart.

This Transfer Notice and all matters (including, without limitation, any
contractual or non-contractual obligation) arising out of or in connection with it
shall be governed by, and construed in accordance with, English law.

The Parties irrevocably agree that the courts of England have exclusive
jurisdiction to decide and to settle any dispute or claim arising out of or in

connection with this Transfer Notice.
