INDEPENDENT CONTRACTOR AGREEMENT

Independent Contractor. CONTRACTOR must be an independent contractor and not an employee of the CSU system or
any of its Auxiliaries. CONTRACTOR is not an agent of, or authorized to transact business, enter into agreements, or
otherwise m ake c ommitments o n b ehalf o f U CORP. U CORP w ill n ot p ay f ederal, s tate, o r l ocal i ncome t ax o r o ther p ayroll
tax of any kind on behalf of CONTRACTOR. CONTRACTOR is not entitled to any of the fringe benefits of employment,
including but not limited to medical benefits, dental benefits, life insurance, worker's compensation, disability insurance,
liability i nsurance o r u nemployment c ompensation. C ONTRACTOR f urther u nderstands t hat a nnual i nformation r eturns a s
required b y t he I RS w ill b e f iled b y U CORP.

Confidentiality. All nonpublic data and information submitted or made available by CONTRACTOR by UCORP, and other
work developed by CONTRACTOR under this agreement, must be utilized by CONTRACTOR in connection with this
agreement o nly a nd m ust n ot b e m ade a vailable t o a ny o ther s ources.

11. Contractor's P ersonnel. E mployees o f C ONTRACTOR m ust c arry o ut t he p erformance o f t he s ervices. C ONTRACTOR m ust
at i ts o wn e xpense, p rovide a ll p ersonnel n ecessary t o p erform t he s ervices. C ONTRACTOR w arrants t hat a ll p ersonnel
engaged i n t he s ervices a re q ualified t o p erform t he s ervices a nd m ust b e p roperly l icensed a nd o therwise a uthorized t o
do s o u nder a ll a pplicable l aws.
