INDEPENDENT CONTRACTOR’S AGREEMENT
This Independent Contractor's Agreement is entered into between **Your Name, residing at **Your
Address, City, State, Zip and **Independent Contractor, doing business as a **Type of business entity
Independent Contractor operates under, i.e., LLC, corporation, individual, etc., with principal offices at
**Independent Contractor’s Address, City, State, Zip.
This Independent Contractor's Agreement is effective as of **Date Signed.
WHEREAS:
Your Name is in the business of ** Describe your business activities and needs to engage
Independent Contractor; and
Your Name has agreed to enter into an Independent Contractor relationship with Independent
Contractor on the terms and conditions set out in this Agreement.
NOW, THEREFORE, in consideration of the mutual promises, covenants, terms and conditions
herein, and for other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged by the parties, the parties agree as follows:
1. Agreement to Engage. Your Name agrees to engage Independent Contractor, and
Independent Contractor agrees to be engaged in the capacity of an independent
contractor.
2. Contractor Services to be Provided. Independent Contractor, through its employees,
will provide the following contracted Services (hereinafter "Services"):
**You will need to make a list of the services that the independent contractor will provide. Be
detailed in the list. For example, If you hire someone to prune trees, you will want them to
take the appropriate safety measures, haul away the branches and clean up when they are
done. All required specifics should be listed here.
3. No Employment Relationship. Independent Contractor expressly understands and
agrees that:
Independent Contractor and its employees shall be Independent Contractors, and that no
employment relationship shall be formed between Your Name and Independent Contractor or
Independent Contractor’s employees. Nothing herein shall be construed as reserving to
either party the right to control the other in the conduct of its employees or business, nor shall
either party have the authority to make any promise, guarantee, warranty, or representation
which will create any obligation or liability whatsoever, whether express or implied, on behalf
of the other.
(a)
Neither Independent Contractor or any of its employees shall have any claim
under this Independent Contractor’s Agreement or otherwise against Your Name
for vacation pay, sick leave, retirement benefits, social security, workers
compensation, disability, unemployment insurance benefits, or any other
employee benefits, all of which shall be Independent Contractor’s sole
responsibility.
(b)
Your Name shall not withhold any type of taxes on Independent Contractor’s
behalf, or on behalf of any of Independent Contractor’s employees, any sums for
income tax, unemployment insurance, social security, or any other withholding
pursuant to any law or requirement of any government agency, and payment of
