all such withholdings and remittances shall be Independent Contractor’s sole
responsibility.
(c)
Independent Contractor shall indemnify and hold Your Name harmless from any
and all loss or liability arising with respect to any of the foregoing benefits or
withholdings that Independent Contractor fails to remit.
4. Term. This Agreement shall be for an initial term of **Term of Agreement (this could be
days, months, years) unless terminated by either party in accordance with terms of this
Independent Contractor’s Agreement.
5. Renewal. Your Name may renew this Independent Contractor’s Agreement at the
conclusion of the Term on either a successive **Establish an additional term length term
or on a month-to-month basis, as the parties shall agree. There shall be no automatic
right of renewal of this Agreement.
6.
Compensation. Your Name shall pay Independent Contractor compensation
("Compensation") as follows:
(a)
**Compensation--You will have to describe the compensation. If you have done
a good job of describing the services that will be provided, it will be easier to set
the compensation. You can pay on a per job basis, an hourly fee, monthly fee,
etc. Be as detailed as possible. This and the description of services will be the
areas where there will be an argument.
(b)
Independent Contractor shall be wholly responsible for invoicing Your Name as
the Services are completed.
7. Attorney Fees. In the event any suit or other proceeding is reasonably necessary and is
commenced to construe, enforce, or terminate any provision of this Independent
Contractor’s Agreement, the nonprevailing party shall pay the prevailing party, in addition
to all other amounts to which the prevailing party may be entitled, a reasonable sum for
attorneys’ fees and costs incurred by the prevailing party in such suit or proceeding.
8. Indemnification. Independent Contractor will indemnify and hold Your Name harmless
from all claims and damages, including all attorney fees, that are asserted against Your
Name resulting from the actions or non actions of Independent Contractor or Independent
Contractor‘s employees.
9. Termination. This Agreement may be terminated as follows:
(a)
By either Your Name or Independent Contractor for any reason, upon the
provision of thirty (30) days written notice;
(b)
Immediately by Your Name, should Independent Contractor fail to provide the
Services as agreed, upon written notice delivered to Independent Contractor at
the notification address provided herein or delivered verbally by Your Name
delivered directly to Independent Contractor witnessed by at least one other
person; or
10. Notices. All notices, reports, payments, requests, consents, demands and other
communications between Your Name and Independent Contract, pertaining to subjects
related to this Independent Contractor’s Agreement, shall be in writing and shall be
deemed duly given and effective (A) when actually received by mail or personal delivery,
or (B) three days after being mailed by prepaid registered or certified mail, to the
