Any verbal notice shall be considered delivered when witnessed by at least one other third
party and delivered either by an in-person conversation or, where the parties are not in the
same geographical location, by way of a telephone discussion.
11. Waiver of Rights. In order to be effective, any waiver, by either party, of any right under this
Independent Contractor’s Agreement must be in writing signed by an authorized representative of
the party making the waiver. No such waiver or failure of Your Name or Independent Contractor
to enforce a right or strict performance under this Independent Contractor’s Agreement shall be
deemed to be a waiver or forbearance which would in any way prevent Your Name or
Independent Contractor from subsequently asserting or exercising any such rights, making a
claim not specifically waived, or requiring strict performance of this Independent Contractor's
Agreement. No such waiver or failure to enforce shall affect the validity of this Independent
Contractor's Agreement or be a continuing waiver excusing compliance with any provision of this
Independent Contractor's Agreement in the future.
12. Entire Agreement. This Independent Contractor's Agreement constitutes the entire agreement
and understanding between Your Name and Independent Contractor with respect to the
engagement of Independent Contractor as an independent contractor. There are no
understandings, representations, or warranties between Your Name and Independent Contractor
concerning the engagement or any aspect of the engagement, except as expressly set forth in
this Independent Contractor's Agreement. This Independent Contractor's Agreement supersedes
all prior agreements or understandings between Your Name and Independent Contractor
concerning the engagement.
13. Force Majeure. Neither Your Name nor Independent Contractor shall be in default of the terms
of this Independent Contractor's Agreement because the party delays performance or fails to
perform such terms; provided such delay or failure is not the result of the party’s intentional or
negligent acts or omissions, but the result of causes beyond the reasonable control of such party.
14. Modifications. No modification of this Independent Contractor's Agreement shall be valid unless
made in writing and signed by both Your Name and Independent Contractor.
15. Assignment. This Independent Contractor's Agreement shall not be assigned or
transferred by either party without the prior written consent of the other party.
16. Governing Law. Each party to this Agreement expressly agrees that this Agreement
shall be governed by the laws of the State of **Your State (if you use another state, you
will have to go to court in that state). Each party consents to the exclusive jurisdiction of
**Your State state and federal courts in any action or a claim arising out of, under, or in
connection with, this Agreement. Each party agrees to this mandatory forum selection.
17. Severability. The provisions of this Independent Contractor's Agreement are severable;
and should any provision(s) be determined, by agreement of the parties or by a court of
competent jurisdiction, to be invalid, illegal or unenforceable; the parties and the court
shall have the right to strike the provision(s) or modify the provision(s), within the original
intent of the parties, to make the provision(s) valid and enforceable. The remainder of
this Independent Contractor's Agreement shall remain in full force and effect.
